THIS MEMORANDUM OF INTENTION ("RESOLUTION") IS A CHARTER BY THE CREATORS OF THISTLE CAPITAL ("THISTLE^", “CREATORS”), HAVING ITS ADDRESS IN THE METAVERSE, AND SINGAPORE, FOR THE BENEFIT OF THE PERSON OR ORGANIZATION IDENTIFIED AS POTENTIAL BENEFICIARIES ("YOU", “BENEFICIARY”) IN ORDER TO GRANT THE PRIVILEGES OF ACCESS AND FINANCIAL GAINS OF ITS TECHNOLOGY. THIS RESOLUTION IS TO SIGNAL THE INTENT AND ELIGIBILITY TO THE $ MILLION USD-T THISTLE^ FUND THAT WAS CREATED, UNDERPINNING ITS MISSION AND ETHOS, TO DIRECTLY BENEFIT ITS FAMILY, FRIENDS AND SELECTED CAUSES.

BACKGROUND

"THISTLE AI^" is an automated trading Algorithmic Intelligence Technology created by the founders of THISTLE^. The smartest in class software that executes perpetual futures market trades, all day, every-day. An algorithm engineered for technical market analysis to leverage the power of perpetual futures to magnify investment gains from a 10 trillion USD-T industry comprised of cryptocurrencies.

THISTLE^ aims to create passive income by allowing hands-off emotionless automated copy-trading of its master account by all subscribers/beneficiaries to its technology.

It opens long and short market Futures / CFD (Contract for Differences) orders on over 500 crypto currencies and over 1000 securities comprised of Stocks, Shares, Commodities, Indices and Currencies listed on global stock exchanges. THISTLE^ works by connecting to and trading on reputable international cryptocurrencies exchanges and securities brokers such as: . All your investment balances and profits will be held in stable currencies like USD-Tether that is pegged to the US Dollar in a ratio of 1:1 to protect it from market volatilities.

Access to THISTLE AI^ technology is through its platform online on https://thistle.capital and ownership of its Non-Fungible Token (NFT) called THE FUNGIBLES^. These NFTs minted on the Ethereum blockchain will be provided to You in order to grant You access to your own account that You retain control over through your own decentralized blockchain wallets like those from third party services such as Metamask.

THISTLE^ created the “IF YOU ARE OUR PURPOSE, WE’LL FIND YOU” fund in order finance and grant its technology's privileges to those that it feels meets its mission and contributed to its creator’s journey.

THISTLE^’s retains the right to retract, suspend, cancel or terminate any access granted to its beneficiaries without notice or explanation if it feels your benefit no longer serves its mission or You no longer meet its requirements criteria or You have violated its policies and principles.

"Confidential Information" means THISTLE^ nonpublic information in any form including without limitation: technology, data, plans, projects, drawings, schematics, know-how, proposals, contracts, reports, photographs, video recordings, audio recordings, and work space inside and outside of buildings. You shall hold all Confidential Information in strict confidence and shall not disclose or use it except under certain special circumstances including as instructed by a competent court of law.

This Resolution applies to You regardless of your country of residence and You are required to ensure compliance with tax laws for any financial benefit You may obtain from the use of THISTLE^'s technology.

This fund is essentially capital generated, built up and owned by the founders who at their discretion are giving You access within the remits of its planned mission, it is a private activity and endeavour, it is not intended to be public, not open to scrutiny or audit, not a traditional fund, not regulated and You understand that You will not have any express rights or access to it.

This Resolution is a statement of intent and creator's policy underpinning its mission statement. THISTLE^ reserves the right to update and change this Resolution and its policies at any time without notice. This Resolution is not legally binding and THISTLE^ will not have any obligations towards You even if benefit was previously granted.

All beneficiaries understand that the future is unpredictable and as such, there can be no guarantees that access to this technology or the ability for it to make huge returns is perpetuity in the face of changing economic and political landscapes including but not limited to local laws and market trading conditions. The financial gains must be treated as a supplement to your existing sources of income and You must never become reliant on THISTLE AI^ as a source of revenue.

Further, THISTLE^ is a "Cryptocurrency Trading Bot" which falls in the category of "an investment advisor executing trade orders on other people's behalf" and is currently not a regulated activity in most countries in respect to its crypto tokenised trading activity. If these laws change and come in line with the securities laws (e.g. Securities Market Act in the EU or Securities Act in the USA or Securities And Futures Act in Singapore) where THISTLE^ will require an operational license obtained from a relevant regulatory body that oversees the physical location where it is based out of (currently being the "Metaverse" however a real world "Universe" facility may need to be established), then access may be temporarily or permanently lost until such a time THISTLE^ secures its operational licenses to in order to continue to offer you further access.

For the avoidance of doubt, THISTLE^ and all its services is not available to you for access or use if your country of residence deems our technology a licensable or regulated activity and Thistle^ will take all necessary precautions to monitor and restrict your access if it is reasonably determined that you are not eligible for access. For example, we do not provide services to residents of the USA.

If you proceed to receive any benefits from THISTLE^ or use its technology, you automatically agree to all its Policies, Terms and Conditions as listed on this website currently and in future, and further, agree to indemnify Thistle^ and all its operators fully against any loss or harm that could be caused to you in the course of its use.

THISTLE^ will create a investment fund account with a target balance of $ million USD-T that will start with $ USD-T in its investment account. This extra-ordinary growth in capital by the THISTLE AI^ will serve as a proof-of-concept for its technology and AI. Time to target balance is expected to be a 5 year period including all R&D. The fund will become available for access to Thistle^ identified beneficiaries once an initial $ USD-T balance has been reached. • ROUND 1: Prepare a comprehensive business plan and email it to team@thistle.capital; If you are acquiring an existing venture, provide a prospectus and the last three years of its financial accounts;

2. Interviews

• ROUND 2: If approved, pass a virtual interrogational interview with the Thistle board; • ROUND 3: Physical field visit for final approval.

3. Approval

Establish a "Special Purpose Vehicle (SPV)" company for the new venture. • Provide one seat on the board for a Thistle Capital representative; • Receive funding in the SPV company bank account and commence activity.

THISTLE^ will provide a $200,000 USD-T interest-free grant. Must be returned to the fund if an invested project reaches $ million USD-T in gross sales.

Eligibility^

• • Friends and Family;
• • 21 years of age and over;
• • Investment must be for the purchase or setup of a new for-profit project in any industry;
• • Investment cannot be used to pay for debts of any kind;
• • Investment must not be a collateral payment for any venture. It must represent 100% of the cost to set up or acquire the venture and no additional capital must be required;
• • A complete business plan must be submitted;
• • Pass an interrogational interview with the creators or representative board;
• • Entrepreneur must donate 10% of all profits to charity of their choice;
• • A seat on the board of the new venture will be required for THISTLE^ management board in order to ensure compliance with its terms of investment and to minimize chances of venture failure.

• • Friends and Family;
• • Medical emergencies that are not covered by insurance and may cause harm due to undue delays from social healthcare;
• • Beneficiary is on the brink of bankruptcy and in court pending judgement;
• • Beneficiary is destitute and established to be in dire straits;
• • Payments cannot be made to the Beneficiary but rather to pay the emergency debt or invoice directly.
